Terms and conditions

1. Applicability

These terms apply to every proposal and agreement between JABL Trading and a client. Deviations only apply if agreed in writing.

For JABL Works Shopify apps, the Shopify App Store terms and the licence terms of the app also apply.

2. Proposals

Proposals are valid for thirty days unless stated otherwise. An assignment is agreed once the proposal is confirmed in writing or digitally.

3. Execution

We carry out assignments to the best of our ability and in line with good professional practice. Stated timelines are estimates, not strict deadlines.

The client provides the information, content and access needed for the work in good time.

4. Additional work

Work outside the agreed scope is discussed in advance. We only carry it out after approval and invoice it at the agreed rate.

5. Payment

Invoices are due within fourteen days of the invoice date. Larger projects are invoiced in instalments as set out in the proposal.

If payment is late, we may suspend work until payment is received.

6. Intellectual property

After full payment, the rights to custom work developed specifically for the client transfer to the client.

JABL retains the rights to its own generic components, tools and JABL Works products. The client receives a right of use as far as needed for the delivered work.

Open-source software is subject to its own licence.

7. Liability

Our liability is limited to direct damage and to no more than the amount invoiced for the assignment in the six months before the damage occurred. We are not liable for indirect damage, such as lost revenue or data loss, except in cases of intent or gross negligence.

8. Hosting and maintenance

Hosting, maintenance and further development are agreed separately, with one month’s notice unless agreed otherwise. We take care of backups and security updates but cannot guarantee uninterrupted availability of third-party services.

9. Confidentiality

Both parties keep each other’s confidential information secret, also after the assignment ends. With the client’s permission we may show the delivered work in our portfolio.

10. Governing law

Dutch law applies to these terms and all agreements. Disputes are brought before the competent court in the district of Rotterdam.
